Scope of Representation/Terms/Termination

The scope of Representation Client hereby appoints Learning Questa as his/her exclusive educational counseling/advisement agents in representing, negotiating and securing admissions into Universities/institutions of higher education worldwide, or other job-related skills acquisition services required by clients (these requirements to be clearly stated). This includes but not limited to disclosing client’s information to Learning Questa or Universities/institutions of higher education in which admission request has been submitted on behalf of a client and also guidance throughout the processes of preparation and application into university/institutions of higher education, up to actual admission.

Admissions and job-related skills acquisition shall mean All activities related to university admission (including preparation for SAT, TOEFL, GRE, GMAT, LSAT, MCAT), job-related counseling, on job-related skills requirement such as basic computer literacy skills (typing, Internet research, email, and PowerPoint). Clients agree to pay an additional fee as specified by Learning Questa if clients need these related services. Learning Questa reserves the right to define the services they provide and may choose to refuse/terminate these services without prejudice, as they deem necessary. This termination shall be communicated in writing. 2. Term. Without prejudice, to the provisions for termination, as hereinafter provided in section 3 of this agreement, the initial term of this agreement shall be for one (1) year. Client agrees to pay all the required fees in accordance to the stipulation of learning Questa fee schedule. For subsequent one (1) year period thereafter, unless either party gives to the other written notice, at least (60) days before the end of the initial term or any extended term, the employment of the client is to terminate the term.

The word “term” is used in this agreement to refer to the full term of this agreement or as may be extended as provided in this agreement. Termination After the initial term of one year as provided by this agreement, either party may terminate this agreement by giving a thirty (30) days notice of such intention. A client may also terminate this agreement immediately only in the event of filing for bankruptcy (whether voluntary or involuntary), insolvency, liquidation, disability, or death of agent. Power of Attorney Learning Questa shall not execute or sign any agreement or grants of rights with respect to required university/VISA applications, however the client’s signature shall be required for any such transactions.

Notwithstanding the above, client hereby authorizes and instructs Learning Questa to include a customary agency clause incorporating the terms of this agreement in any contract(s) which Learning Questa may negotiate, and the parties agree to execute such additional documents as may be necessary to give full force and effect to this agreement. Bankruptcy In an event where Learning Questa goes into a transaction and bankruptcy proceedings arise, whether voluntary or involuntary, agent agrees to furnish, by registered mail, a written notification of the bankruptcy (including date in which the bankruptcy petition was filed, and the name and location of the court in which the petition was filed, within five (5) days of the initiation of the proceedings relating to the bankruptcy.

Learning Questa Charges/Fees

Learning Questa charges fees for our products and services. And these fees are moderate covering Learning Questa registration, application, admission processing, and related training, courier and form I-20. If a co-agent or sub-agent from any part of the world is engaged, the client shall be responsible for paying such sub or co-agent fees as applicable. All fees paid are non-refundable once receipts have been issued.

Additional Expenses/Fees:

Additional expenses may be incurred during the processing of a client’s application/admission. At registration, the client will be required to sign an approval form agreeing to reimburse Learning Questa for unusual or extra ordinary expenses incurred during or throughout the process. Failure to reimburse the said unusual/extra ordinary expenses will result in immediate termination of this agreement/contract.

Learning Questa VISA Counselling and Documentation

VISA Counseling/Advisement Learning Questa agrees to ONLY engage in the preparation/counseling of applicants for VISA interviews to the extent they know how to. Visa Issuance is SOLELY at the discretion of the Consular officer at the Embassy of Country of choice or study.

Neither Learning Questa nor her staff is responsible/liable in the event of Visa denial. Deadlines Only hard copies of application materials can be accepted. Documents and required materials can only be accepted through email or fax only as determined by Learning Questa Center.

All required application materials must be submitted early enough to meet the required admission and VISA application deadlines given to you.

Learning Questa Center cannot guarantee that applications that arrive after deadlines will be processed for the student’s desired semester of admission. If your application arrives late and cannot be processed for your desired term, Universities will automatically process your application for the next available semester. As Stated in the notice of termination above, once payments have been made and receipts have been issued, fees are non-refundable. Entire Agreement

Learning Questa Center and client agree that this agreement is contract and contains the entire agreement between them and may not be modified or amended except in writing and signed by both parties.

Attestation:

The client certifies under oath that all the information provided to Learning Questa Center under this agreement/contract is correct and true. Provision of any fake/fictitious document or any form of falsification/falsehood will result in immediate termination of the agreement/contract.
